Preamble<\/b><\/strong><br \/>1.1<br \/>These terms and conditions of sale (the \u201cTerms and Conditions\u201d) apply to all sales and deliveries of products from Kinami Limited, Room 4, Office 18, Block 19, Vicenti Buildings, Triq Id-Dejqa, Valletta, VLT 1432, Malta, Company Number C107347 and your company as supplier (the \u201cSupplier\u201d (whether singular or plural)).<\/p><p>1.2<br \/>These terms and conditions are incorporated into the agreement between the parties by way of reference from the written purchase order submitted by Kinami Limited to the Supplier and forwarding of the terms and conditions to the Supplier.<\/p><p>1.3<br \/>Any and all products supplied by Kinami Limited are covered by these terms and conditions including but not limited to, medical devices, cosmetics and disposables.<\/p><p>1.4<br \/>These terms and conditions will co-exist with any other agreements concluded by the parties and will take precedence in case of any inconsistencies.<\/p><p><b>2. <\/b><strong><b>Supply and delivery<\/b><\/strong><strong><b><br \/><\/b><\/strong>2.1<br \/>Kinami Limited and the Supplier will agree to the details of the supply, and Kinami Limited will subsequently confirm the agreement in the purchase order to the Supplier. Hereinafter, the Supplier will issue a pro forma invoice to Kinami Limited. In case of inconsistencies between previous agreements on the purchase, the purchase order and\/or the pro forma invoice, the purchase order will take precedence if the Supplier has not objected to the contents thereof within 48 hours from receipt thereof.<\/p><p>2.2<br \/>Unless otherwise agreed, the products must be delivered at Kinami Limited\u2019 address, warehouse or offices according to the instructions, including the delivery time set out in the purchase order.<\/p><p>2.3<br \/>Kinami Limited will pay invoices at the time set out in the purchase order.<\/p><p>2.4<br \/>If products are not supplied to Kinami Limited at the agreed time, then Kinami Limited is entitled to terminate the purchase order. If Kinami Limited wishes to terminate the purchase order according to this clause, Kinami Limited must notify the Supplier thereof no later than 48 hours after the agreed time of delivery. In the event that any prepayment has been made, such prepayment must be returned in full and without any deductions to Kinami Limited within 72 hours from receipt of the cancellation of the purchase order.<\/p><p><b>3. <\/b><strong><b>Back orders<\/b><\/strong><strong><b><br \/><\/b><\/strong>3.1<br \/>The Supplier must inform Kinami Limited as soon as possible if a product is in back order or for any other reasons cannot be delivered fully or partly within the agreed time of delivery.<\/p><p>3.2<br \/>Back orders must be delivered without undue delay. Kinami Limited must be notified of the new time of delivery.<\/p><p>3.3<br \/>Kinami Limited reserves the right to cancel back orders and\/or delayed deliveries entirely or partly up until the time of notice of dispatch to Kinami Limited.<\/p><p>3.4<br \/>Unless otherwise set out in the purchase order, expiry of products must upon delivery be at least 6 months remaining shelf life.<\/p><p><b>4. <\/b><strong><b>Consignment<\/b><\/strong><strong><b><br \/><\/b><\/strong>4.1<br \/>The products must be delivered to Kinami Limited ready for transportation in packaging and with labelling appropriate to the storage of products and mode of transport reasonably specified by Kinami Limited, in accordance with the agreement, these terms and conditions as well as applicable legislation and industry standards.<\/p><p>4.2<br \/>Transport cartons must be marked with the Supplier\u2019s name and be free of old and irrelevant labels and markings.<\/p><p>4.3<br \/>The Supplier must place documentation of the following information on or inside the transport carton:<\/p><ol><li>Product name (of the product)<\/li><li>Item number<\/li><li>Batch no.<\/li><li>Expiry date<\/li><li>Number of packages in carton<\/li><li>Number of packages in convenience pack<\/li><li>Special storage deliveries must be clearly marked and packed separately from other products: Cold and frozen products, hazardous products, mix pallets and mix cartons or tender products, back orders or campaign products. Clearly marked means a visible label (not white) with required language placed on all sides of the cartons\/pallets at pitch 50 or more.<\/li><\/ol><p>4.4<br \/>The Supplier must use its best efforts to ensure that products are delivered suitable packed on pallets and\/or in transport cartons of an optimum size and quantity. Onward transfer must be taken into account.<\/p><p>4.5<br \/>If Kinami Limited bears the risk of freight of the products from the Supplier, the Supplier will cooperate fully and loyally with Kinami Limited in its efforts to establish a claim against the carrier.<\/p><p>4.6<br \/>In case of Kinami Limited return of the products to Supplier, irrespective of the reason for this, the Supplier bears the risk of the products during transport.<\/p><p><b>5. <\/b><strong><b>Information<\/b><\/strong><strong><b><br \/><\/b><\/strong>5.1<br \/>In connection with a purchase order submitted by Kinami Limited, the Supplier must upon receipt thereof and no later than 48 hours thereafter, provide information,\u00a0<em><i>e.g.\u00a0<\/i><\/em>in a proforma invoice, of:<\/p><ol><li>Name and address of the Supplier<\/li><li>Date of sending the product<\/li><li>Product name of the product<\/li><li>Item number, form, strength and package size<\/li><li>Requirements for special storage conditions.<\/li><\/ol><p>5.2<br \/>Each shipment must be accompanied by one delivery note per delivery. The delivery note must contain the following information:<\/p><ol><li>Product name<\/li><li>Quantity (number of pallets and transport cartons)<\/li><li>Item number, form of product strength and package size<\/li><li>Batch no.<\/li><li>Expiry date<\/li><li>Requirements for special storage conditions<\/li><li>Safety notes and warnings<\/li><li>Identification of Kinami Limited as the customer<\/li><li>Number and units per trading unit<\/li><li>Name and address of the Supplier<\/li><li>Name and address of the recipient.<\/li><\/ol><p>5.3<br \/>Further, upon shipment, the Supplier (in case they are responsible for transportation) must immediately per email to Kinami Limited provide information on:<\/p><ol><li>Method of shipment<\/li><li>Name of carrier<\/li><li>Tracking no.<\/li><li>Estimated arrival date.<\/li><\/ol><p>5.4<br \/>Failure to supply any of the information set out in this section will be considered a material breach of the purchase order.<\/p><p><b>6. <\/b><strong><b>Purchase of medical devices (additional requirements)<\/b><\/strong><strong><b><br \/><\/b><\/strong>6.1<br \/>The Supplier warrants that (i) all medical devices purchased by Kinami Limited carry a valid and legal CE marking and (ii) that manufacturer established outside the EU has appointed a representative in the EU. Furthermore that all products supplied as a minimum carries English language on the outerpack and leaflet.<\/p><p><b>7. <\/b><strong><b>Quality control<\/b><\/strong><strong><b><br \/><\/b><\/strong>7.1<br \/>To the extent permitted under applicable legislation, the Supplier must perform out-going quality control to ensure the quality of products delivered to Kinami Limited. The Supplier must use its best efforts to perform the quality control in accordance with applicable legislation and best industry practices.<\/p><p><b>8. <\/b><strong><b>Obligations to inform and product recalls<\/b><\/strong><strong><b><br \/><\/b><\/strong>8.1<br \/>The Supplier must within 5 days from the time when information on an adverse event came or should have come to the Supplier\u2019s knowledge provide any available information thereon to Kinami Limited. In this respect, an adverse event means (i) any malfunction, failure, defect or deterioration in the characteristics and\/or performance of a product, as well as any inadequacy in the labeling or the instructions for use which, directly or indirectly, has, might lead to or might have led to the death of a patient or user or of other persons or to a serious deterioration in their state of health and (ii) any technical or medical reason in relation to the characteristics or performance of a product leading to systematic recall of products of the same type by the Supplier.<\/p><p>8.2<br \/>The Supplier must immediately inform Kinami Limited about any and all complaints, which may refer to the products. The information provided must include a full and complete description of the complaint and any action taken in response to the complaint by the Supplier.<\/p><p>8.3<br \/>If the Supplier becomes aware of any other information regarding the products, intellectual property rights or infringements of such regarding the products that the Supplier believes is reasonably likely to be of importance to Kinami Limited, it must immediately report that information to Kinami Limited. The Supplier will have sole conduct of the defence thereof, at the Supplier\u2019s expense. Kinami Limited will co-operate in such defense, the extent reasonably requested by the Supplier, at the Supplier\u2019s expense. The Supplier on must an on-going basis provide all documentation in such case to Kinami Limited.<\/p><p>8.4<br \/>Kinami Limited will notify the Supplier immediately in the event of Kinami Limited\u2019 knowledge about a product recall.<\/p><p><b>9. <\/b><strong><b>Warranties<\/b><\/strong><strong><b><br \/><\/b><\/strong>9.1<br \/>The Supplier warrants that the products delivered to Kinami Limited (i) are supplied at the agreed time, (ii) correspond to what has been ordered, and (iii) have been duly stored according to storage conditions of the product in transit. At request, the Supplier must provide Kinami Limited with supporting documentation thereof (in case they are responsible for transportation).<\/p><p>9.2<br \/>Further, the Supplier warrants that Kinami Limited is entitled to resell the products in wholesale and that there are no limits for wholesale distribution\/sales of the products worldwide.<\/p><p>9.3<br \/>The Supplier warrants that any handling obligations attached to the products have been complied with by Supplier and its previous suppliers, and that Supplier will supply documentation for such handling immediately upon the request of Kinami Limited.<\/p><p><b>10. <\/b><strong><b>Regulatory matters<\/b><\/strong><strong><b><br \/><\/b><\/strong>10.1<br \/>Kinami Limited disclaims all liability for its customers\u2019 obtaining and maintaining any required marketing permissions or for fulfilling any regulatory registration requirements for the products which are to be marketed or sold by the Customer.<\/p><p><b>11. <\/b><strong><b>Set-off<\/b><\/strong><strong><b><br \/><\/b><\/strong>11.1<br \/>Kinami Limited is entitled to set off any amount payable, whether stemming from the same or other purchase orders, to the Supplier if the Supplier has delivered products to Kinami Limited which will entitle Kinami Limited to a refund of the purchase sum or other liability on the part of the Supplier.<\/p><p><b>12. <\/b><strong><b>Liability<\/b><\/strong><strong><b><br \/><\/b><\/strong>12.1<br \/>Kinami Limited is liable to pay damages in accordance with the ordinary rules of Danish law with the limitations and exclusions set out in these terms and conditions.<\/p><p>12.2<br \/>Kinami Limited will not pay damages for any indirect losses or consequential damage suffered by the Supplier or any third party. Indirect losses or consequential damage include but are not limited to loss of business opportunities, loss of profit, loss of goodwill, loss of interest and duty to pay any liquidated damages, penalties or fines.<\/p><p>12.3<br \/>Kinami Limited\u2019s total aggregated liability for any and all claims including damages is limited to an amount equal to the purchase price paid for the product(s) to which the claims relate. The aforesaid monetary limitation applies irrespective of the basis thereof and must to the widest extent possible include claims based on acts of negligence (whether ordinary or gross negligence), strict liability, product liability,\u00a0<em><i>etc<\/i><\/em>.<\/p><p><b>13. <\/b><strong><b>Governing law and venue<\/b><\/strong><strong><b><br \/><\/b><\/strong>13.1<br \/>These terms and condition, including disputes regarding their existence or validity, are governed by Danish law, irrespective of any conflict of laws rules, which could otherwise result in the application of the laws of another jurisdiction to the dispute.<\/p><p>13.2<br \/>Any dispute arising out of, or in connection, with this these terms and conditions, including disputes regarding their existence or validity, must be settled by the ordinary Danish courts, and if possible before the court of Frederiksberg as the court of first instance.<\/p><p>13.3<br \/>Notwithstanding clause 13.2, as regards Suppliers in countries which are not a party to a mutual convention on recognition of judgements with Malta and are signatories to the New York Arbitration Convention, any dispute arising from or related to these Terms and Conditions shall be resolved exclusively by arbitration administered by the Malta Arbitration Centre in accordance with its arbitration rules in effect at the time the proceedings are initiated. The Malta Arbitration Centre will appoint a sole arbitrator to act as the chairman of the arbitral tribunal. The arbitration proceedings shall take place in Valletta, Malta.\u201d<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-ccbcf3f elementor-widget elementor-widget-heading\" data-id=\"ccbcf3f\" data-element_type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">CONDITIONS G\u00c9N\u00c9RALES DE VENTE<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-493fbff elementor-widget elementor-widget-text-editor\" data-id=\"493fbff\" data-element_type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p><b>1. <\/b><strong><b>Pr\u00e9ambule<\/b><\/strong><br \/>1.1<br \/>Les pr\u00e9sentes conditions g\u00e9n\u00e9rales de vente (les \u00ab Conditions g\u00e9n\u00e9rales \u00bb) s\u2019appliquent \u00e0 toutes les ventes et livraisons de produits effectu\u00e9es par Kinami Limited, Salle 4, Bureau 18, Bloc 19, Bat\u00eement Vicenti, Triq Id-Dejqa, La Vallette, VLT 1432, Malte, num\u00e9ro d\u2019entreprise C107347 (\u00ab Kinami Limited \u00bb) au client (le \u00ab Client \u00bb).<\/p>\n<p>1.2<br \/>Sauf accord \u00e9crit contraire, tous les produits vendus par Kinami Limited au Client sont soumis aux pr\u00e9sentes Conditions G\u00e9n\u00e9rales, y compris, sans s\u2019y limiter, les dispositifs m\u00e9dicaux, les produits cosm\u00e9tiques et les produits \u00e0 usage unique (les \u00ab Produit(s) \u00bb).<\/p>\n<p><b>2. <\/b><strong><b>Commandes<\/b><\/strong><br \/>2.1<br \/>Un accord contraignant entre Kinami Limited et le Client est conclu lorsque Kinami Limited a confirm\u00e9 la commande de Produits par Client (la \u00ab Commande \u00bb) en \u00e9mettant une facture proforma.<\/p>\n<p>2.2<br \/>Toute d\u00e9claration figurant sur une Commande ou tout autre document similaire, qui n\u2019a pas \u00e9t\u00e9 express\u00e9ment confirm\u00e9e par \u00e9crit par Kinami Limited par l\u2019\u00e9mission d\u2019une facture proforma, ne sera pas consid\u00e9r\u00e9e comme un accord entre les parties.<\/p>\n<p>2.3<br \/>Toutes les factures proforma sont soumises \u00e0 la disponibilit\u00e9 des Produits, et Kinami Limited se r\u00e9serve le droit d\u2019annuler toute facture proforma ou tout accord conform\u00e9ment \u00e0 la clause 14 ci-dessous.<\/p>\n<p>2.4<br \/>La Commande est contragnant pour le Client.<\/p>\n<p><b>3. <\/b><strong><b>Conformit\u00e9 aux lois et r\u00e9glementations applicables<\/b><\/strong><br \/>3.1<br \/>Kinami Limited agit en tant que grossiste international. Sauf disposition contraire dans les pr\u00e9sentes Conditions g\u00e9n\u00e9rales, Kinami Limited n\u2019assume aucune responsabilit\u00e9 quant au respect de la l\u00e9gislation applicable au Client ou aux Produits dans les juridictions o\u00f9 le Client est \u00e9tabli ou exerce ses activit\u00e9s. <\/p>\n<p>3.2<br \/>En acceptant les pr\u00e9sentes Conditions g\u00e9n\u00e9rales, le Client assume la responsabilit\u00e9 proactive de se conformer \u00e0 la l\u00e9gislation internationale et locale en vigueur et de la respecter strictement pour toute manipulation des Produits.<\/p>\n<p>3.3<br \/>Le Client garantit qu\u2019il obtiendra et maintiendra en vigueur tous les permis, licences et autorisations, et qu\u2019il effectuera toutes les notifications requises aupr\u00e8s des autorit\u00e9s comp\u00e9tentes, n\u00e9cessaires \u00e0 l\u2019importation, \u00e0 la mise sur le march\u00e9 et \u00e0 la distribution des Produits, y compris l\u2019examen et l\u2019approbation de tous les emballages, \u00e9tiquetages et informations sur les Produits (p. ex., le r\u00e9sum\u00e9 des caract\u00e9ristiques du produit et la notice), afin d\u2019assurer la conformit\u00e9 aux lois et r\u00e9glementations applicables.<\/p>\n<p>3.4<br \/>Le Client garantit qu\u2019il assumera la responsabilit\u00e9 de toutes les obligations post\u2011commercialisation (le cas \u00e9ch\u00e9ant), y compris les activit\u00e9s de surveillance du march\u00e9, telles que la notification des modifications substantielles des sp\u00e9cifications de produit et des syst\u00e8mes qualit\u00e9, la d\u00e9claration des \u00e9v\u00e9nements ind\u00e9sirables, le traitement des r\u00e9clamations, les notifications aux clients et les rappels.<\/p>\n<p>3.5<br \/>Le Client garantit que toutes les obligations de manipulation ou restrictions de vente attach\u00e9es aux Produits (d\u00e9coulant notamment des pr\u00e9sentes Conditions g\u00e9n\u00e9rales, de l\u2019emballage du produit ou des lois et r\u00e9glementations applicables) relatives \u00e0 leur revente ult\u00e9rieure ou \u00e0 leur importation seront respect\u00e9es, et que le Client imposera de telles restrictions \u00e0 tous les clients ult\u00e9rieurs des Produits.<br \/><strong><b><br \/><\/b><\/strong><strong><b>4. Tarifs<\/b><\/strong><br \/>4.1<br \/>Les prix indiqu\u00e9s dans les listes de prix et les prix pr\u00e9c\u00e9demment pay\u00e9s ne sont pas opposables au titre des commandes ult\u00e9rieures.<\/p>\n<p>4.2<br \/>Sauf indication contraire, tous les prix s\u2019entendent hors TVA, droits de douane, imp\u00f4ts et autres taxes.<\/p>\n<p><b>5. <\/b><strong><b>Paiement<\/b><\/strong><br \/>5.1<br \/>Sauf accord \u00e9crit contraire, les Produits doivent faire l\u2019objet d\u2019un paiement anticip\u00e9 \u00e0 Kinami Limited. L\u2019envoi des Produits ne sera lanc\u00e9 qu\u2019une fois le paiement re\u00e7u par Kinami Limited. <\/p>\n<p>5.2<br \/>Les Produits demeurent la propri\u00e9t\u00e9 de Kinami Limited jusqu\u2019au r\u00e8glement int\u00e9gral par le Client de toutes ses obligations, y compris le paiement complet du prix d\u2019achat et, le cas \u00e9ch\u00e9ant, des int\u00e9r\u00eats de retard.<\/p>\n<p>5.3<br \/>En cas de non-paiement de toute somme due \u00e0 la date d&#8217;\u00e9ch\u00e9ance, Kinami Limited est en droit de facturer des int\u00e9r\u00eats de retard au taux de 2 % par mois civil, ou fraction de mois, \u00e0 compter de la date d\u2019\u00e9ch\u00e9ance.<\/p>\n<p>5.4<br \/>Le Client n\u2019est pas en droit d\u2019op\u00e9rer une compensation sur les montants dus \u00e0 Kinami Limited, que ceux-ci d\u00e9coulent de la m\u00eame Commande ou d\u2019autres Commandes.<br \/><strong><b><br \/><\/b><\/strong><strong><b>6. Livraison<\/b><\/strong><br \/>6.1<br \/>Kinami Limited s\u2019engage \u00e0 livrer les Produits au Client selon ce qui a \u00e9t\u00e9 convenu entre les parties et \u00e0 ex\u00e9cuter ses obligations conform\u00e9ment \u00e0 la facture pro forma et aux pr\u00e9sentes Conditions g\u00e9n\u00e9rales.<\/p>\n<p>6.2<br \/>Les conditions de livraison applicables (p. ex. EXW ou DAP) sont pr\u00e9cis\u00e9es dans la facture pro forma \u00e9mise par Kinami Limited. Sauf indication contraire dans la facture pro forma, les Produits seront livr\u00e9s EXW (Incoterms\u00ae 2020) \u00e0 l&#8217;\u00e9tablissement d\u00e9sign\u00e9 par Kinami Limited. <\/p>\n<p>6.3<br \/>En cas de retard, Kinami Limited doit en informer imm\u00e9diatement le Client. Un retard ne constitue une violation substantielle des pr\u00e9sentes Conditions g\u00e9n\u00e9rales que s&#8217;il persiste pendant plus de 14 jours. En cas d&#8217;exp\u00e9ditions multiples, le d\u00e9lai de 14 jours est calcul\u00e9 par exp\u00e9dition.  <\/p>\n<p>6.4<br \/>Kinami Limited se r\u00e9serve le droit de suspendre la livraison des Produits si une somme due \u00e0 Kinami Limited est en souffrance ou si, de l&#8217;avis de Kinami Limited, la solvabilit\u00e9 du Client a \u00e9t\u00e9 compromise pour toute autre raison, jusqu&#8217;\u00e0 r\u00e9ception du paiement.<\/p>\n<p>6.5<br \/>Le seul et unique recours du Client en cas de retard est un cr\u00e9dit ou le remboursement du montant de l&#8217;achat, \u00e0 la discr\u00e9tion de Kinami Limited.<\/p>\n<p><b>7. <\/b><strong><b>D\u00e9fauts<\/b><\/strong><strong><b><br \/><\/b><\/strong>7.1<br \/>Sauf stipulation expresse contraire dans les pr\u00e9sentes Conditions g\u00e9n\u00e9rales, Kinami Limited ne formule ni affirmation, ni d\u00e9claration factuelle, ni promesse, ni garantie de quelque nature que ce soit, expresse ou implicite, concernant le Produit, sa qualit\u00e9 marchande ou son ad\u00e9quation \u00e0 un usage particulier.<\/p>\n<p>7.2<br \/>Les produits livr\u00e9s par Kinami Limited sont r\u00e9put\u00e9s exempts de tout d\u00e9faut et accept\u00e9s par le Client, si aucun d\u00e9faut n&#8217;est signal\u00e9 par \u00e9crit \u00e0 Kinami Limited d\u00e8s sa d\u00e9couverte, et en tout \u00e9tat de cause, au plus tard dans les 3 jours apr\u00e8s la r\u00e9ception des Produits par le Client. La notification \u00e0 Kinami Limited doit comporter une description compl\u00e8te et d\u00e9taill\u00e9e de la r\u00e9clamation et de toute mesure prise par le Client en r\u00e9ponse \u00e0 celle-ci. <\/p>\n<p>7.3<br \/>Le Client garantit que lui-m\u00eame, et, s\u2019il n\u2019en a pas la facult\u00e9, tout client subs\u00e9quent d\u00fbment habilit\u00e9, proc\u00e9dera \u00e0 une inspection appropri\u00e9e des Produits livr\u00e9s par Kinami Limited imm\u00e9diatement \u00e0 leur r\u00e9ception.<\/p>\n<p>7.4<br \/>En cas de r\u00e9clamations justifi\u00e9es et d\u00fbment notifi\u00e9es, Kinami Limited est uniquement tenue, \u00e0 sa discr\u00e9tion, de r\u00e9duire le prix, de r\u00e9parer le d\u00e9faut, de remplacer les Produits ou de les reprendre et de rembourser le prix d&#8217;achat. Ce sont les seuls recours dont dispose le Client. <\/p>\n<p>7.5<br \/>Les Produits dont Kinami Limited accepte par \u00e9crit le retour ou en ordonne par \u00e9crit le retour seront renvoy\u00e9s, par Client, \u00e0 Kinami Limited ou \u00e0 toute autre destination indiqu\u00e9e par Kinami Limited, conform\u00e9ment aux Incoterms 2020. Kinami Limited d\u00e9terminera, dans chaque cas, le mode de transport (p. ex. maritime, a\u00e9rien, routier) ainsi que le transitaire. <\/p>\n<p><b>8.  <\/b><strong><b>8. Produits endommag\u00e9s pendant le transport<\/b><\/strong><strong><b><br \/><\/b><\/strong>8.1<br \/>Dans le cas o\u00f9 Kinami Limited supporte le risque du transport des Produits jusqu\u2019au Client conform\u00e9ment \u00e0 la facture pro forma (p. ex., si Ex Works (EXW) est convenu), toute r\u00e9clamation pour perte, manquant, casse, fuite ou autre dommage survenu pendant le transport doit \u00eatre signal\u00e9e \u00e0 Kinami Limited \u00e0 l\u2019adresse info@kinamihealth.com imm\u00e9diatement et au plus tard dans les 3 jours \u00e0 compter du moment o\u00f9 le Client en a eu, ou aurait d\u00fb en avoir, connaissance. Les r\u00e9clamations re\u00e7ues apr\u00e8s ce d\u00e9lai ne seront pas accept\u00e9es. <\/p>\n<p>8.2<br \/>La notification doit \u00eatre accompagn\u00e9e de photographies pertinentes de la perte et du rapport \u00e9tabli par le transporteur constatant tout manquant, casse ou dommage. Les r\u00e9clamations pr\u00e9sent\u00e9es par le Client sans la documentation appropri\u00e9e seront rejet\u00e9es. <\/p>\n<p>8.3<br \/>Le Client coop\u00e8rera pleinement et loyalement avec Kinami Limited dans ses d\u00e9marches visant \u00e0 \u00e9tablir une r\u00e9clamation \u00e0 l\u2019encontre du transporteur.<\/p>\n<p>8.4<br \/>Le seul et unique recours du Client en cas de dommages survenus lors du transport consiste, \u00e0 la discr\u00e9tion de Kinami Limited, en l\u2019\u00e9mission d\u2019une commande de remplacement ou au remboursement du prix d\u2019achat. Le Client renonce \u00e0 tout autre recours (y compris, sans s\u2019y limiter, toute indemnisation au titre de dommages indirects ou cons\u00e9cutifs, etc.) en cas de dommages lors du transport. <\/p>\n<p>8.5<br \/>En tout \u00e9tat de cause, Kinami Limited ne saurait \u00eatre tenue responsable des avaries survenues pendant le transport lorsque leur montant est inf\u00e9rieur \u00e0 700 EUR. Ce montant est calcul\u00e9 par Commande. <\/p>\n<p><b>9. <\/b><strong><b>Responsabilit\u00e9<\/b><\/strong><br \/>9.1<br \/>Kinami Limited engage sa responsabilit\u00e9 conform\u00e9ment aux r\u00e8gles du loi ordinaire maltais, sous r\u00e9serve des limitations et exclusions pr\u00e9vues aux pr\u00e9sentes Conditions g\u00e9n\u00e9rales.<\/p>\n<p>9.2<br \/>Kinami Limited ne saurait \u00eatre tenue responsable envers le Client de dommages au titre de pertes ou r\u00e9clamations indirectes, y compris, sans s\u2019y limiter, des r\u00e9clamations relatives \u00e0 des dommages sans lien avec les Produits, la perte de profit, la perte de production, la perte de client\u00e8le, les pertes d\u2019exploitation ou toute autre perte indirecte.<\/p>\n<p>9.3<br \/>La responsabilit\u00e9 totale cumul\u00e9e de Kinami Limited pour toute r\u00e9clamation, y compris les dommages et\/ou le remboursement du prix d\u2019achat, est limit\u00e9e \u00e0 un montant \u00e9gal au prix d\u2019achat pay\u00e9 pour les Produits auxquels se rapportent lesdites r\u00e9clamations. La limitation p\u00e9cuniaire susmentionn\u00e9e s\u2019applique quel que soit le fondement de la responsabilit\u00e9 et couvre, dans toute la mesure permise, les r\u00e9clamations fond\u00e9es sur la n\u00e9gligence (simple ou grave), la responsabilit\u00e9 objective, la responsabilit\u00e9 du fait des produits, etc. <\/p>\n<p>9.4<br \/>Toute r\u00e9clamation \u2014 y compris pour manquement contractuel, correction de d\u00e9fauts ou retard \u2014 sera irrecevable car prescrite \u00e0 l\u2019issue d\u2019un d\u00e9lai de trois (3) mois \u00e0 compter de la livraison des Produits, ind\u00e9pendamment du fait que le Client ait eu ou non connaissance de ladite r\u00e9clamation.<br \/><strong><b><br \/><\/b><\/strong><strong><b>10.<\/b><\/strong> <strong><b>Droits des tiers<\/b><\/strong><br \/>10.1<br \/>Les parties conviennent que Kinami Limited n\u2019assume aucune responsabilit\u00e9 en cas d\u2019\u00e9ventuelle atteinte, par les Produits, \u00e0 des droits de propri\u00e9t\u00e9 intellectuelle de tiers.<\/p>\n<p>10.2<br \/>Dans l\u2019hypoth\u00e8se o\u00f9 le Client recevrait notification ou serait autrement inform\u00e9 de toute r\u00e9clamation, action ou demande fond\u00e9e sur une pr\u00e9tendue atteinte \u00e0 des droits de propri\u00e9t\u00e9 intellectuelle de tiers relative aux Produits, le Client devra en informer sans d\u00e9lai Kinami Limited.<br \/><strong><b><br \/><\/b><\/strong><strong><b>11. Responsabilit\u00e9 relative aux produits<\/b><\/strong><br \/>11.1<br \/>Kinami Limited ne pourra \u00eatre tenue responsable des dommages corporels ou mat\u00e9riels r\u00e9sultant de l\u2019utilisation des Produits, sauf dans la mesure o\u00f9 une telle responsabilit\u00e9 ne peut \u00eatre exclue au titre des dispositions l\u00e9gales imp\u00e9ratives applicables.<\/p>\n<p>11.2<br \/>Kinami Limited ne saurait en aucun cas \u00eatre tenue responsable des dommages mat\u00e9riels caus\u00e9s par les Produits apr\u00e8s leur livraison et\/ou lorsqu\u2019ils se trouvent en la possession du Client, y compris, sans s&#8217;y limiter, les dommages subis par des produits fabriqu\u00e9s par le Client ou par des produits dont les produits du Client constituent un \u00e9l\u00e9ment.<\/p>\n<p>11.3<br \/>La responsabilit\u00e9 de Kinami Limited ne pourra en aucun cas exc\u00e9der, pour une ann\u00e9e donn\u00e9e, le montant total du prix d\u2019achat des Produits \u00e0 l\u2019origine de la r\u00e9clamation, sauf en cas de dommages corporels.<\/p>\n<p>11.4<br \/>Si la responsabilit\u00e9 de Kinami Limited du fait des Produits est engag\u00e9e envers un tiers dont le Client est l\u00e9galement responsable, le Client indemnisera Kinami Limited dans la mesure et selon les m\u00eames limites que celles pr\u00e9vues \u00e0 la pr\u00e9sente clause 11, y compris, sans s&#8217;y limiter, lorsque Kinami Limited est tenue responsable envers le tiers sans qu\u2019aucune faute ou n\u00e9gligence de sa part ne soit \u00e9tablie, ou lorsque une telle faute ou n\u00e9gligence est \u00e9tablie mais que le montant des dommages-int\u00e9r\u00eats dus par Kinami Limited au tiers exc\u00e8de les plafonds pr\u00e9cit\u00e9s.<\/p>\n<p>11.5<br \/>Kinami Limited est en droit d\u2019intenter une action contre le Client devant la m\u00eame juridiction que celle saisie par un tiers \u00e0 l\u2019encontre de Kinami Limited dans le cadre d\u2019un litige relatif \u00e0 la responsabilit\u00e9 du fait des Produits.<\/p>\n<p><b>12. <\/b><strong><b>Signalement des \u00e9v\u00e9nement ind\u00e9sirables et rappel de produits<\/b><\/strong><br \/>12.1<br \/>Le Client doit, dans les cinq (5) jours suivant le moment o\u00f9 il a eu, ou aurait d\u00fb avoir, connaissance d\u2019un \u00e9v\u00e9nement ind\u00e9sirable, communiquer \u00e0 Kinami Limited toute information disponible \u00e0 ce sujet. Aux fins des pr\u00e9sentes, est consid\u00e9r\u00e9 comme \u00ab \u00e9v\u00e9nement ind\u00e9sirable \u00bb : (i) tout dysfonctionnement, d\u00e9faillance, d\u00e9faut ou d\u00e9t\u00e9rioration des caract\u00e9ristiques et\/ou des performances du Produit, ainsi que toute insuffisance de l\u2019\u00e9tiquetage ou des instructions d\u2019utilisation, qui, directement ou indirectement, a provoqu\u00e9, pourrait provoquer ou aurait pu provoquer le d\u00e9c\u00e8s d\u2019un patient, d\u2019un utilisateur ou de toute autre personne, ou une d\u00e9t\u00e9rioration grave de leur \u00e9tat de sant\u00e9 ; et (ii) toute raison technique ou m\u00e9dicale li\u00e9e aux caract\u00e9ristiques ou aux performances du Produit entra\u00eenant le rappel syst\u00e9matique, par le Client, de Produits du m\u00eame type.   <\/p>\n<p>12.2<br \/>Le Client doit, d\u00e8s qu\u2019il prend connaissance de toute autre information concernant les Produits \u2014 y compris toute \u00e9ventuelle violation des droits de propri\u00e9t\u00e9 intellectuelle \u2014 qu\u2019il estime raisonnablement susceptible de pr\u00e9senter un int\u00e9r\u00eat pour Kinami Limited, en informer imm\u00e9diatement Kinami Limited.<\/p>\n<p>12.3<br \/>Kinami Limited informera imm\u00e9diatement le Client d\u00e8s que Kinami Limited aura connaissance d\u2019un rappel de produit et fournira des instructions sur la marche \u00e0 suivre pour le retour de tous les Produits concern\u00e9s. Kinami Limited pourra d\u00e9terminer, rappel par rappel, les mesures \u00e0 mettre en \u0153uvre par le Client, lequel devra s\u2019y conformer, sauf si ces instructions contreviennent aux lois et r\u00e9glementations applicables au Client. Sans instruction suppl\u00e9mentaire, le Client doit transmettre \u00e0 Kinami Limited toute documentation disponible relative aux avis de saisie \u00e9manant des autorit\u00e9s publiques ainsi qu\u2019aux avis de rappel adress\u00e9s \u00e0 ses propres clients. Les frais engag\u00e9s par le Client dans le cadre des rappels de Produits sont \u00e0 sa charge. Le Client apporte toute assistance raisonnable demand\u00e9e par Kinami Limited pour la bonne conduite d\u2019un rappel.    <br \/><strong><b><br \/><\/b><\/strong><strong><b>13. Taxes et autres paiements<\/b><\/strong><br \/>13.1<br \/>Le Client est responsable de la collecte, du transfert et du r\u00e8glement de tous imp\u00f4ts, taxes, droits, redevances, frais et autres pr\u00e9l\u00e8vements (les \u00ab Charges \u00bb) impos\u00e9s \u00e0 l\u2019occasion de l\u2019achat, de la vente, de l\u2019exportation, de l\u2019importation ou de toute autre op\u00e9ration concernant les Produits, ou, plus g\u00e9n\u00e9ralement, de toute Charge d\u00e9coulant de l\u2019exercice de ses propres activit\u00e9s, qu\u2019elle soit ou non li\u00e9e aux Produits.<br \/><strong><b><br \/><\/b><\/strong><strong><b>14. Circonstances exceptionnelles<\/b><\/strong><br \/>14.1<br \/>Kinami Limited ne pourra \u00eatre tenue responsable d\u2019aucune perte ni d\u2019aucun dommage r\u00e9sultant d\u2019un retard ou d\u2019un manquement dans l\u2019ex\u00e9cution de l\u2019une quelconque de ses obligations au titre des pr\u00e9sentes Conditions g\u00e9n\u00e9rales, lorsque ce retard ou ce manquement est d\u00fb \u00e0 des circonstances extraordinaires \u00e9chappant au contr\u00f4le raisonnable de Kinami Limited.<br \/><strong><b><br \/><\/b><\/strong><strong><b>15. Confidentialit\u00e9<\/b><\/strong><br \/>15.1<br \/>Les parties s\u2019engagent \u00e0 traiter comme confidentiels tous les renseignements et documents, y compris les prix et autres conditions de livraison, re\u00e7us de l\u2019autre partie, ainsi que toute information relative \u00e0 leur relation commerciale et s\u2019interdisent d\u2019utiliser ces informations ou de les divulguer \u00e0 des tiers, sauf dans la stricte mesure n\u00e9cessaire \u00e0 l\u2019ex\u00e9cution de leurs obligations r\u00e9ciproques ou si la loi l\u2019exige express\u00e9ment. Cette obligation demeure en vigueur pendant cinq (5) ans \u00e0 compter du dernier achat effectu\u00e9 par le Client. <\/p>\n<p><b>1<strong>6.<\/strong><\/b><strong><b>Droit applicable et juridiction<\/b><\/strong><br \/>16.1<br \/>Les pr\u00e9sentes Conditions g\u00e9n\u00e9rales, y compris tout litige relatif \u00e0 leur existence ou \u00e0 leur validit\u00e9, sont r\u00e9gies par le droit maltais, sans \u00e9gard aux r\u00e8gles de conflit de lois susceptibles d\u2019entra\u00eener l\u2019application du droit d\u2019une autre juridiction, et \u00e0 l\u2019exclusion de toute r\u00e8gle de droit international priv\u00e9, telle que la Convention des Nations Unies sur les contrats de vente internationale de marchandises (CVIM). <\/p>\n<p>16.2<br \/>Tout litige d\u00e9coulant des pr\u00e9sentes Conditions g\u00e9n\u00e9rales ou s\u2019y rapportant, y compris tout diff\u00e9rend relatif \u00e0 leur ex\u00e9cution, sera soumis aux tribunaux comp\u00e9tents de Malte, garantissant ainsi une proc\u00e9dure judiciaire simplifi\u00e9e pour les deux parties.<\/p>\n<p>16.3<br \/>Nonobstant la clause 16.2, pour les Clients provenant de pays ne participant pas \u00e0 une convention mutuelle de reconnaissance des jugements avec Malte et signataires de la Convention de New York sur l\u2019arbitrage, tout litige r\u00e9sultant des pr\u00e9sentes Conditions g\u00e9n\u00e9rales ou s\u2019y rapportant sera r\u00e9solu exclusivement par arbitrage administr\u00e9 par le Centre d&#8217;arbitrage de Malte (Malta Arbitration Centre), conform\u00e9ment \u00e0 son r\u00e8glement d\u2019arbitrage en vigueur au moment du d\u00e9clanchement de la proc\u00e9dure. Le Centre d&#8217;arbitrage de Malte (Malta Arbitration Centre) d\u00e9signera un arbitre unique agissant en qualit\u00e9 de pr\u00e9sident du tribunal arbitral.
